Merger by absorption CGE Gas Matural S.A. and Gas Natural Chile S.A. - Depósito Central de Valores


Dear Participants Depósito Central de Valores (DCV) wishes to inform you that on May 31st, 2017, CGE GAS NATURAL S.A., Taxpayer No. 76,609,803-7 and GAS NATURAL CHILE S.A., Taxpayer No. 76,560,818-K, informed as an essential fact, the merger by absorption agreed upon in the extraordinary shareholders meetings of both companies. In light of the preceding, CGE GAS NATURAL S.A. (CGEGAS), acquired all assets and liabilities of GAS NATURAL CHILE S.A. (GNCHILE). CGE GAS NATURAL S.A. acquired the entire equity and all shares of the merged company, and GAS NATURAL CHILE S.A. was thus legally dissolved. The merger is effective as from today, Friday, August 11th, 2017. The exchange was automatic for those shareholders whose shares were deposited in balance accounts of Depósito Central de Valores. Hence, this morning, their balances had already been exchanged. This process took place in DCV at the level of each Depositor/Nominee, according to the modality indicated by the issuer. For those shareholders which shares were directly in the Issuer Domain, their shares have already been exchanged in that same domain.
