Errata, Hortifrut Shares Exchange

Dear Participants,

DCV corrects the figure of the calculation factor highlighted in red.

We wish to remind you that issuer HORTIFRUT has concluded a tender offer process conducted between May 2 and 31, 2023.

The Notice of Results should be published on June 3, 2023, unless the offerors extend the term of the offer.

If the tender offer is successful, the shares will appear as exchanged on June 5 in two series on the Corporations' shareholders' register and the holdings account of the depositors.

On the morning of June 5, Series A (HF-A) will have the same number of shares that the original HF series had.

On Monday, June 5, Series B (HF-B) will have the original series shares multiplied by 99,999.

This means that if on May 31 you had 1 HF share, on Monday, June 5, you will have 1 HF-A series share and  99,999 HF-B shares.

In-transit transactions registered at DCV, made through the Stock Exchange and not settled, will become two transactions associated with the two series; this is, if you sold 1 HF share to be settled on Monday the 5th or Tuesday the 6th, the buyer would receive 1 HF-A share and 99,999 HF-B shares. If shares have been registered bilaterally, they will not be affected by the exchange, and therefore they must be canceled and registered again.

Due to the tender offer sale, the delivery of shares at DCV will be managed directly by their administrators, who will determine the mechanism to settle the transfer and payment.
