Dear Issuers,
In relation to carrying out meetings of shareholders or assemblies of contributors, and with the purpose of providing a better, timely and safe service, we provide you with certain recommendations that prevent, to the extent possible, any force majeure or unforeseen circumstances provided for in Article 45 of the Civil Code.
1.- Choose as a place for the event those that are not located within the areas that have been (or could be) subject to disturbances.
2.- Provide easy access to suppliers and attendees of the shareholders meetings, both through public and private transport in such a way that there are no transport-related complications. Thus, making their attendance easier and helping them arrive on time to the event. Also, consider having protected parking.
3.- Having means that could allow the equipment to be connected to power generators.
4.- On the day that the Shareholders meeting is to be held and in case of having access difficulties due to disturbances, barricades, tear gas, or others contemplated in Article 545 of the Civil Code, the attendees should be informed that the health and life of the people who must attend for any reason will be prioritized, and that the event may possibly be suspended. This protection should consider the suppliers, attendees and neighbors of the site. This protection must also be estimated for the exit and anticipated termination of the event.
5.- In case the event is suspended, the issuer will analyze all the background provided by the suppliers, shareholders, news media, police, and municipal or private security services, among others. DCV Registros S.A. within its protection policy of its own personnel, will always choose under any circumstance the value of life and health.
6.- We suggest having an information channel, and a sole representative on behalf of the issuer (other than the usual clients contact telephone number), so that all the information of DCV Registros S.A. or of other suppliers is delivered. Thus, allowing them to coordinate before any difficulty.
7.- Publish on the website and inform the Financial Market Commission of all the measures that have been arranged to conduct or suspend the event in case of disturbances or any unforeseen circumstance or force majeure.
8.- In the event that a shareholders meeting is delayed for reasons that are not attributable to DCV Registros S.A., it is possible that the team assigned for said shareholders meeting could leave. This, as with other contractual commitments may be scheduled on that same date and may take place afterwards. In such case, one person will be left in charge of voting and/or for concluding the shareholders meeting.
9.- Having enough paramedical personnel and supplies to assist those that could be affected by riots.
By fulfilling the preceding recommendations, we acknowledge that the necessary and appropriate measures have been taken to prevent and mitigate in a responsible manner, situations that complicate or make difficult (in any manner) the realization of the event. The same in relation to discussions that regard the possibility of suspending an event (previously informing the Financial Market Commission) due to reasons that escape the control of the issuer and its suppliers.
