La Araucana Family Compensation Fund Exchange

Dear Participants,

Depósito Central de Valores informs its participants that in the La Araucana Family Compensation Fund's, hereinafter "Caja La Araucana," creditors meeting held on November 28, 2023, an amendment to the current Judicial Reorganization Agreement was agreed upon. This amendment considers an exit financing composed of a syndicated loan, a bilateral loan with Banco BICE, and securitized bonds issued by Bci Securitizadora S.A., whose separate equity is comprised of Caja La Araucana's social loans. 

As a consequence of the previous, depositors with holdings of Caja La Araucana "F" and "G" bonds at the close of business on Tuesday, December 19, 2023, will not have holdings of such bonds during Wednesday, December 20, 2023, since those instruments will be fully paid in the manner contemplated in the amended Judicial Reorganization Agreement. The accrued and unpaid interest from the last coupon of these bonds until December 20, 2023, will also be paid in cash by Caja La Araucana on December 20, 2023. Thus, Caja La Araucana's creditors who are holders of series "F" bonds and/or accruals not instrumentalized in series "F" or "G" bonds under the Agreement, will receive in exchange the securitized bonds issued by Bci Securitizadora S.A. in the manner contemplated in the amended Judicial Reorganization Agreement.   

The determination of the amount of the new securitized bonds to be delivered to each depositor will be defined by Caja La Araucana and will depend on the statement made by each creditor regarding increasing, maintaining, or decreasing exposure and the alternatives available in each case according to the Judicial Reorganization Agreement. 

The holdings will be delivered through free payment transactions between DCV and each depositor, without the need for the latter to accept the transactions; consequently, the delivery of the securitized bonds will be made automatically, without the intervention of the depositors, with only the instruction of Caja La Araucana.
