Dear Shareholders of Coca-Cola Embonor S.A.,
At a meeting of the Board of Directors of Coca-Cola Embonor S.A. (the “Company”) held on November 26, 2024, it was agreed to distribute an interim dividend out of the profits for the year 2024, in the total amount of $20,966,994,252, pesos corresponding to the amount of $40 per Series A share and $42 per Series B share, which will be paid as of December 19, 2024 to the holders of the shares listed in the Shareholders’ Registry at midnight on December 13, 2024.
In order to truthfully, sufficiently, and timely disclose the essential facts and information related to the Corporation, its business, and the securities issued by it that are subject to public offering, this agreement was communicated to the market in general and to the Financial Market Commission by means of an Essential Fact dated November 26, 2024.
In connection with such interim dividend, and in accordance with the information contained in the aforementioned Essential Fact, the Corporation hereby informs the shareholders and makes available to them a procedure so that shareholders who so decide may access the provisional and optional legal regime established in Articles 10 and 11 of Law No. 21681 and the provisions of Circular 34/2024 and Official Letter 2150/2024, both issued by the Chilean Internal Revenue Service (hereinafter “SII Regulation”), which provides for the payment of a substitute tax for final taxes (i.e., substitute for global complementary tax or additional tax), also known as “ISIF.”
